If your organisation is an incorporated society in New Zealand, recent legislative changes mean it’s time to take action. Under the Incorporated Societies Act 2022, all incorporated societies (incorporated under the 1908 Act) must re-register with the Companies Office by 5 April 2026 or face automatic deregistration . At Weston Ward & Lascelles Ltd, we have been advising organisations and individuals in Christchurch for over 140 years. This article outlines what the law changes mean, what steps your society needs to take, and how our team can help. Overview of the Incorporated Societies Act 2022 The Incorporated Societies Act 2022 replaces the previous legislation, which dated back to 1908. It introduces modern governance standards, clearer officer responsibilities, and more rigorous compliance expectations. The new Act is designed to strengthen transparency, accountability, and the long-term viability of incorporated societies in New Zealand. Even if your society has been operating for many years, you must re-register under the new Act to maintain legal status. Why re-registration is required Under the 2022 Act, every existing incorporated society must apply to re-register . This includes submitting an updated constitution that complies with the new legislation and ensuring that governance structures and officer duties are clearly defined. Deadline: All incorporated societies must re-register by 5 April 2026 . Failure to do so will result in deregistration and loss of legal status. Key changes introduced by the new act Mandatory Re-Registration Re-registration with the Companies Office is required, along with an updated constitution that aligns with the new legal framework. Updated Constitution Requirements Societies must now include clauses around dispute resolution, officer duties, financial management, and meeting procedures. A legal review of your constitution is strongly advised to ensure compliance. Officer Duties and Conflict Management Officers now have explicit obligations under the new Act, including acting in good faith, disclosing conflicts of interest, and prioritising the society’s interests. Annual Reporting and Dispute Resolution Societies must meet new requirements for annual financial reporting and implement transparent mechanisms for resolving internal disputes.
